Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LoQal FranX platform, websites, mobile applications and related services (collectively, the "Service") provided by LoQal ("LoQal", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
1. The Service
LoQal FranX is an AI-native, India-first franchise-expansion CRM. It provides capabilities including AI-assisted lead scoring and matchmaking, retrieval-augmented brand intelligence, deal pipeline and launch management, contact management, omnichannel engagement (including WhatsApp, voice/IVR, SMS and email), and integrations such as two-way CRM sync. Features may change, improve or be discontinued over time.
2. Accounts & access
- Access may be granted on an invitation or onboarding basis. You are responsible for maintaining the confidentiality of your credentials.
- You are responsible for all activity that occurs under your account and for your users' compliance with these Terms.
- You must provide accurate information and keep it up to date.
3. Acceptable use
You agree not to misuse the Service. You will not: (a) use it for unlawful purposes; (b) attempt to gain unauthorised access to systems or data; (c) reverse engineer, resell or sublicense the Service except as expressly permitted; (d) upload content you do not have the right to share; or (e) use the Service to send unsolicited communications in violation of applicable law.
4. Customer data & privacy
You retain ownership of the data you submit to the Service ("Customer Data"). You grant LoQal a limited licence to process Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy. You may request account deletion via our account deletion process.
5. AI features
The Service includes AI-assisted features. AI outputs (including lead scores, recommendations and extracted brand data) are provided for decision support and may be inaccurate or incomplete. You are responsible for reviewing outputs before relying on them. Where you configure third-party AI providers, your use of those providers is also subject to their terms.
6. Third-party integrations
The Service may interoperate with third-party products (for example, CRM systems, messaging and telephony providers). Your use of those products is governed by their own terms, and LoQal is not responsible for third-party services.
7. Fees
Where a paid plan applies, fees, billing cycle and currency (₹ India-first) will be set out in an order or subscription agreement. Unless stated otherwise, fees are non-refundable. Taxes are your responsibility except where required to be collected by us.
8. Intellectual property
LoQal and its licensors own all rights in the Service, including software, design and the brand knowledge base, excluding your Customer Data. No rights are granted except as expressly stated in these Terms.
9. Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms.
10. Warranties & disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, LoQal disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages, or for lost profits or revenues. LoQal's aggregate liability arising out of or relating to the Service will not exceed the amounts paid by you for the Service in the twelve months preceding the claim.
12. Term & termination
These Terms apply while you use the Service. Either party may terminate for material breach not cured within a reasonable period. Upon termination, your right to use the Service ends and we may delete Customer Data in accordance with our policies and applicable law.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by other reasonable means. Continued use after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of India, and the courts of India will have jurisdiction, except where mandatory local law provides otherwise. (Adjust jurisdiction with counsel.)
